1. ACCEPTANCE OF TERMS

These Terms and Conditions ("Terms") govern your use of the Botified, LLC ("Botified," "we," "us," or "our") website located at https://botified.ai and all related services, tools, and resources (collectively, the "Services"). By accessing or using our Services, you ("User," "Client," or "you") agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. ABOUT BOTIFIED

Botified, LLC is a Florida limited liability company specializing in AI automation consulting and implementation services. We help businesses streamline operations, reduce manual work, and increase productivity through customized AI-powered automation solutions.

3. SERVICES DESCRIPTION

3.1 Core Services

Our Services include but are not limited to:

• AI automation consulting and strategy development
• Custom workflow design and implementation
• Integration of AI tools and platforms into existing business processes
• Training and documentation for implemented systems
• Ongoing support and optimization services
• Project management and technical support

3.2 Service Delivery

Services are delivered through a structured process including initial consultation, solution proposal, onboarding, implementation, and ongoing support. Specific deliverables, timelines, and pricing are outlined in separate service agreements.

3.3 Third-Party Integrations

Our Services may involve integration with third-party platforms and tools. While we strive to ensure compatibility and functionality, we are not responsible for changes, outages, or limitations imposed by third-party service providers.

4. CLIENT RESPONSIBILITIES

4.1 Information Accuracy

You agree to provide accurate, complete, and current information necessary for the provision of Services. You are responsible for maintaining the confidentiality of any login credentials and account information.

4.2 Cooperation

You agree to cooperate with Botified staff during the implementation and optimization of automation solutions, including providing timely feedback, access to necessary systems, and participation in training sessions.

4.3 System Requirements

You are responsible for ensuring your existing systems meet the technical requirements for implementing proposed automation solutions.

5. INTELLECTUAL PROPERTY

5.1 Client Data and Content

You retain ownership of all data, content, and information you provide to us. You grant Botified a limited license to use such information solely for the purpose of providing Services to you.

5.2 Custom Implementations

Custom automation workflows and integrations developed specifically for your business become your property upon completion and full payment. However, we retain rights to our underlying methodologies, templates, and proprietary tools.

5.3 Botified Property

All rights, title, and interest in our proprietary methodologies, templates, documentation formats, and general automation frameworks remain the exclusive property of Botified.

6. PAYMENT TERMS AND BILLING

6.1 Fees and Payment

Fees for Services are outlined in separate service agreements. Unless otherwise specified, payments are due according to the billing schedule established in your service agreement.

6.2 Late Payments

Late payments may be subject to interest charges and may result in suspension of Services until payment is brought current.

6.3 Disputed Charges

Any disputes regarding charges must be reported within 30 days of the billing date. Undisputed portions of bills remain due and payable.

7. CANCELLATION AND TERMINATION

7.1 Cancellation by Client

You may cancel ongoing Services by providing thirty (30) days written notice. Upon such notice, you will be billed for one additional billing cycle following the notice period, after which Services will be discontinued. Cancellation does not entitle you to refunds for Services already provided or fees already paid.

7.2 Termination by Botified

We reserve the right to terminate Services immediately for breach of these Terms, non-payment, or any conduct that we determine to be harmful to our business or other clients.

7.3 Effect of Termination

Upon termination, your right to use our Services will cease immediately. We will provide you with final deliverables and documentation as specified in your service agreement.

8. SERVICE LEVEL AGREEMENTS AND WARRANTIES

8.1 Performance Standards

We strive to maintain high standards of service availability and response times. Specific service level commitments are outlined in individual service agreements where applicable.

8.2 Warranty Disclaimer

EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS OR A SEPARATE SERVICE AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.3 System Uptime

While we implement best practices for system reliability, we cannot guarantee 100% uptime of automated systems due to factors including but not limited to third-party service dependencies, internet connectivity, and system maintenance requirements.

9. LIMITATION OF LIABILITY

9.1 General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTIFIED'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO BOTIFIED IN THE ONE (1) MONTH PRECEDING THE CLAIM.

9.2 Excluded Damages

IN NO EVENT SHALL BOTIFIED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE THEORY OF LIABILITY.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Botified from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another party.

11. PRIVACY AND DATA PROTECTION

11.1 Privacy Policy

Our collection, use, and protection of your personal information is governed by our Privacy Policy, available at https://botified.ai/privacy-policy, which is incorporated into these Terms by reference.

11.2 Data Security

We implement reasonable security measures to protect your data, but cannot guarantee absolute security of information transmitted over the internet or stored electronically.

12. SMS TERMS AND CONDITIONS

By checking the box, you ("End User") consent to receive messages from Botified, LLC ("Business") for the purpose of receiving automated appointment reminders, confirmations, and/or promotional messaging via SMS when you opt in to receive our messages. Please read the following terms carefully before giving your consent.

By checking the box and providing your consent, you confirm that you are the authorized owner of the provided contact information and that you are at least 18 years old or have obtained parental consent.

Please note that this consent is separate from any other consent you may have provided to the Business for other purposes.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

13.2 Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Palm Beach County, Florida, and you hereby consent to the jurisdiction of such courts.

13.3 Dispute Resolution

Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiations. If negotiations fail, disputes may be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. GENERAL PROVISIONS

14.1 Entire Agreement

These Terms, together with any referenced policies and separate service agreements, constitute the entire agreement between you and Botified regarding the Services.

14.2 Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients with reasonable advance notice. Continued use of Services after such changes constitutes acceptance of the modified Terms.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.4 Force Majeure

Botified shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

14.5 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
